1. Agreement to Terms

By accessing or using any website, product, or service operated by SADE SYSTEMS LTD ("SADE Systems", "we", "our", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Our Services

SADE Systems provides software products including but not limited to:

• —SADE EMS — a real-time energy management system for solar and battery storage facilities
• —SADE PVInvest — a solar investment simulation and financial modelling tool
• —Associated APIs, dashboards, and reporting tools

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

3. Accounts and Access

Access to our products may require registration. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. 4. Acceptable Use

You agree not to:

5. Intellectual Property

All content, software, algorithms, designs, and documentation provided by SADE Systems are the exclusive property of SADE SYSTEMS LTD or its licensors, protected by applicable intellectual property law. These Terms do not grant you any ownership rights. You may use our services solely as permitted under these Terms and any applicable subscription agreement.

6. Data and Accuracy

SADE EMS and SADE PVInvest use third-party data sources including PVGIS 5.2 irradiance data and live market feeds. All outputs — including yield estimates, IRR projections, and financial models — are provided for informational purposes only. They do not constitute financial or investment advice. You remain solely responsible for any decisions made based on our outputs.

7. Pricing and Payment

Pricing for our services will be confirmed at the time of subscription. All prices are exclusive of VAT unless stated otherwise. Subscriptions auto-renew unless cancelled before the renewal date. We reserve the right to change pricing with 30 days' notice. Refunds are handled on a case-by-case basis at our discretion.

8. Limitation of Liability

To the maximum extent permitted by law, SADE Systems shall not be liable for:

• —Indirect, incidental, or consequential damages arising from use of our services
• —Loss of revenue, profit, or data resulting from service interruptions
• —Inaccuracies in third-party data sources used by our products
• —Decisions made based on financial models or projections produced by our software

Our total liability to you in any 12-month period shall not exceed the fees paid by you to us in that period.

9. Termination

Either party may terminate access to our services with 30 days' written notice. We may suspend or terminate access immediately if you materially breach these Terms or if continued access poses a security risk. Upon termination, your right to use our services ceases immediately. Data export options will be provided within a reasonable timeframe following termination.

10. Governing Law and Disputes

We encourage resolving disputes amicably — please contact us first at support@sade.systems before initiating formal proceedings.

11. Changes to These Terms

We may update these Terms at any time. We will provide at least 14 days' notice of material changes via email or a prominent notice on our website. Continued use of our services after the effective date of changes constitutes acceptance.
